Thinking of selling your business?

Here's what used to drive me nuts when I looked at deals in private equity:

โ–ช๏ธ Assume that I am 5 years old and please tell me exactly what you do.

โ–ช๏ธ If you "add multi-silo cross functional value via services provided" I have no idea what that means.

โ–ช๏ธ But if you "sell X to Y by doing A, B, & C" that really helps.

โ–ช๏ธ Also, the acronyms you use everyday? Assume I don't know any of them.

โ–ช๏ธ Please — know your numbers, and don't just stare at the CFO

๐Ÿค If you need help here we can find resources, but I need to know now

โ–ช๏ธ If you add-back everything under the sun but have no cash I will figure it out

โ–ช๏ธ It's completely fine to add ๐˜ด๐˜ฐ๐˜ฎ๐˜ฆ things back, just be reasonable

โ–ช๏ธ Don't sell me on "Spacetime-Adjusted EBITDA" that pro formas every decision you ever made

๐Ÿค We can work on making your budget better after the deal closes

โ–ช๏ธ I know you can't tell everyone right away, but bring people in when you can

โ–ช๏ธ Air out any dirty laundry with them now, b/c we all need to be a team after the deal closes

โ–ช๏ธ Don't blame them for your problems, that's a leadership thing

๐Ÿค We don't want to fire anyone, and we'll explain what changes when the deal closes
