Terms and Conditions

Your individual account and access to this website and its learning course materials (“Materials”) are subject to the terms set forth in this agreement for the stated purpose described below. Materials include, without limitation, lessons, videos, downloadable files, AI skills, prompt libraries, templates, workflows, code, documentation, and any other content or resources made available through the website or any course hosted thereon.

1. Authorized Registered Users

The account holder (“Subscriber”) is granted a limited, non-exclusive, non-transferable, revocable license to access and use the Materials for personal learning purposes in accordance with the terms of this Agreement. Subscriber acknowledges and agrees that access to the Materials is restricted to individuals expressly authorized under the Subscriber’s account plan, as defined by the service provider, Mission Capital, LLC d/b/a Financial Modeling Education (“Instructor”). This license does not grant the Subscriber any ownership interest in the Materials.

2. Prohibition of Credential Sharing

Subscriber shall not share, disclose, or otherwise distribute account credentials, including but not limited to usernames, passwords, or other access details, to any individual or entity not expressly authorized to use the account.

3. Unauthorized Access

Any access to the service by individuals or entities not explicitly authorized by the Subscriber’s account plan shall constitute a breach of this Agreement. Subscriber acknowledges that such unauthorized access may be a violation of applicable laws, including but not limited to theft of services.

4. Remedies for Breach

In the event of a breach of these terms, Instructor reserves the right to take any or all of the following actions: (a) suspend or terminate the Subscriber’s account without notice or refund, (b) impose additional fees or charges for unauthorized usage, (c) pursue legal remedies, including but not limited to claims for damages, and/or (d) report unauthorized access to law enforcement authorities where applicable.

5. Intellectual Property and License Restrictions

All Materials, content, and associated intellectual property remain the sole property of the Instructor and are protected by applicable copyright, trademark, and other intellectual property laws. The Materials may not be copied or reproduced in whole or part in any manner for any purpose other than personal download and use solely by a registered Subscriber who accepts and agrees to these terms and conditions.

Without the prior written consent of the Instructor, Subscriber may not:

Any unauthorized use, reproduction, or distribution of Materials constitutes a violation of this Agreement and applicable intellectual property laws, and may result in immediate revocation of access without refund, as well as pursuit of all available legal remedies.

6. Use and Purpose of Website Materials

The Materials on this site are learning tools, not predictive indicators, regarding hypothetical acquisition(s), financing(s), financial statements, and/or forecasting(s) of hypothetical companies. While great care has gone into their preparation, Instructor makes no representation or warranties of any kind regarding their suitability or accuracy for any purpose other than illustrative learning examples of various financial aspects of a hypothetical acquisition(s), financing(s), financial statements, and/or forecasting(s). Standing alone, Materials are not suitable or adaptable for an actual transaction or company and should not be relied upon or utilized for any purpose other than a reference guide to help you learn to build your own financial models for your own purposes.

7. AI-Generated Content and Tools

Certain Materials include or reference artificial intelligence (“AI”) tools, including but not limited to pre-built skills, prompt libraries, templates, and workflows designed for use with third-party AI platforms (such as, without limitation, Anthropic’s Claude and others). All AI-related Materials are provided strictly for educational and informational purposes and do not constitute financial, investment, legal, tax, accounting, or other professional advice.

Subscriber uses all AI-related Materials, skills, prompts, and any outputs generated through techniques taught in any course entirely at Subscriber’s own risk. AI tools are inherently probabilistic. AI-generated outputs may contain errors, inaccuracies, omissions, hallucinations, outdated information, or other deficiencies. Subscriber is solely responsible for independently verifying, reviewing, and validating any and all AI-generated outputs before relying on them in any capacity — whether personal, academic, or professional.

All AI-related Materials, including pre-built AI skills, are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied. This includes, without limitation, implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement. AI-related Materials may be updated, modified, or removed from time to time at the sole discretion of the Instructor, and no guarantee is made regarding the continued availability, functionality, or compatibility of any resource with current or future versions of any AI platform or tool.

8. Workplace Authorization and Compliance

It is the Subscriber’s sole responsibility to confirm that Subscriber has proper authorization from Subscriber’s employer, organization, or institution before using any AI tools in a professional capacity. Many organizations maintain specific policies governing the use of AI, the handling of proprietary or confidential data, and the use of third-party tools in connection with company work. Subscriber must review and comply with all applicable internal policies, employment agreements, non-disclosure agreements, regulatory requirements, and applicable laws before applying any techniques or Materials in a workplace setting. The Instructor assumes no responsibility for any consequences arising from Subscriber’s failure to obtain proper authorization or comply with applicable policies.

9. Data Privacy and Confidentiality

Subscriber is solely responsible for ensuring that any data Subscriber inputs into AI tools — including but not limited to financial data, client information, proprietary models, and personally identifiable information — complies with all applicable data privacy laws, regulations, confidentiality obligations, and organizational policies. The Instructor has no control over and accepts no liability for how third-party AI platforms process, store, or handle Subscriber’s data.

10. Third-Party Platforms

Certain Materials reference and utilize third-party products, services, and platforms — including but not limited to AI platforms (such as Anthropic’s Claude), related APIs, plug-ins, and integrations. The Instructor is not affiliated with, endorsed by, or sponsored by any third-party platform unless explicitly stated otherwise. The availability, functionality, pricing, terms of service, and performance of third-party tools are beyond the control of the Instructor and may change without notice.

11. Newsletter Sponsorships

We engage others to serve newsletter advertisements and perform related services across the web and in mobile applications. 13. Limitation of Liability

The Materials are not intended for investment, accounting, financial, legal, or tax advice of any kind.

To the fullest extent permitted by applicable law, Christopher Reilly, Mission Capital, LLC, and Financial Modeling Education (collectively, the “Course Providers”) shall not be held liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages — including but not limited to loss of profits, revenue, data, business opportunities, or goodwill — arising out of or in connection with:

This limitation of liability applies regardless of the legal theory under which damages are sought, whether in contract, tort (including negligence), strict liability, or otherwise, and even if the Course Providers have been advised of the possibility of such damages. In no event shall the Course Providers’ total aggregate liability under this Agreement exceed the total amount paid by Subscriber for the applicable Materials.

14. Indemnification

By using the Materials, Subscriber agrees to indemnify, defend, and hold harmless Christopher Reilly, Mission Capital, LLC, Financial Modeling Education, and their respective officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Subscriber’s use of Materials, AI-generated outputs, or Subscriber’s violation of any term of this Agreement.

15. No Guarantee of Results

The Course Providers make no representations or guarantees that the use of any Materials, skills, or techniques will produce any particular outcome, result, or level of accuracy. Results will vary based on numerous factors outside the control of the Course Providers, including but not limited to the AI platform version, user inputs, data quality, and the specific context in which tools are applied.

16. Term and Termination

This Agreement remains in effect for the duration of the Subscriber’s access to the Materials. The Instructor reserves the right to terminate access in the event of a breach of this Agreement, including but not limited to unauthorized license sharing, unauthorized distribution of Materials, or any violation of the Intellectual Property and License Restrictions set forth herein.

17. Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Modifications

The Course Providers reserve the right to update or modify this Agreement at any time without prior notice. Subscriber’s continued access to or use of the Materials following any changes constitutes acceptance of the revised terms.

19. Governing Law

This Agreement will be governed by the internal laws of the state of Colorado.
